Ownership & Usage Rights of Digital Assets

Intellectual Property Policy – HtK Network

This policy defines ownership rights for websites, software, automation systems, marketing creatives, and other digital assets developed by HtK Network. Intellectual property ownership typically transfers upon full and final payment unless otherwise agreed in writing. Unauthorized use, reproduction, or redistribution is prohibited. This Intellectual Property Policy defines ownership, usage rights, restrictions, and legal protections concerning all digital assets, software, designs, content, and materials developed, delivered, or made accessible by HtK Network.

By engaging our services, the client agrees to the terms outlined below.

1. Scope of Intellectual Property

This policy applies to all deliverables and materials including but not limited to:

• Website designs and UI/UX layouts
• Source code, scripts, APIs, and backend systems
• Software applications and automation tools
• Mobile applications
• Graphics, logos, branding assets
• Marketing creatives and advertisements
• SEO strategies and keyword research
• Databases and system architecture
• Documentation and technical specifications
• Hosting configurations and deployment structures

All such materials are collectively referred to as “Work Product.”

2. Ownership Before Full Payment

Until full and final payment is received:

• All intellectual property rights remain exclusively with HtK Network.
• Clients receive no ownership rights.
• Access provided during development does not constitute ownership.
• Use, deployment, resale, or duplication of unfinished work is strictly prohibited.

Failure to complete payment automatically revokes any provisional usage rights.

3. Ownership After Full Payment

Upon full and cleared payment:

• Ownership of specifically agreed deliverables transfers to the client.
• Transfer applies only to the final approved version.
• Ownership does not include:
  • Internal frameworks
  • Proprietary tools
  • Reusable libraries
  • Backend architecture templates
  • Pre-existing modules developed by HtK Network

Unless explicitly agreed in writing, proprietary systems remain the property of HtK Network.

4. Retained Rights by HtK Network

HtK Network retains:

• Rights to internal frameworks and reusable code components
• Rights to display completed work in portfolio and marketing materials
• Rights to reuse non-confidential design patterns and architecture
• Rights to maintain attribution unless contractually waived

This ensures business continuity and operational protection.

5. Third-Party Components

Projects may include third-party elements such as:

• Open-source libraries
• Licensed plugins
• Paid themes
• APIs
• Stock images
• SaaS integrations

In such cases:

• Ownership remains with respective third-party licensors.
• Clients must comply with third-party licensing terms.
• HtK Network is not responsible for future licensing changes imposed by those providers.

6. Client-Provided Materials

If the client provides:

• Logos
• Images
• Content
• Code
• Databases

The client warrants that:

• They own the rights to such materials.
• They have lawful authorization to use them.
• They indemnify HtK Network against any infringement claims arising from such materials.

7. Source Code Policy

Unless explicitly stated in the service agreement:

• Source code access is not automatically included.
• Backend credentials may be withheld until full payment.
• Proprietary algorithms and automation logic remain confidential.
• Reverse engineering, decompiling, or extracting proprietary logic is strictly prohibited.

Unauthorized duplication constitutes infringement.

8. Subscription & SaaS Services

For subscription-based services:

• Clients receive a limited, non-exclusive, non-transferable license.
• No ownership of platform infrastructure is transferred.
• Termination or non-payment results in suspension or revocation of access.
• Data export rights, if any, must be requested prior to termination.

9. Hosting & Server Infrastructure

If hosted on HtK Network servers:

• Server configuration and infrastructure remain the sole property of HtK Network.
• Clients are granted usage rights, not ownership.
• Migration assistance may incur additional charges.
• Server-level scripts and security frameworks remain proprietary.

10. Confidentiality & Trade Secrets

All proprietary processes, automation systems, scripts, and business methodologies constitute trade secrets.

Clients agree:

• Not to disclose confidential technical structures.
• Not to replicate internal systems.
• Not to engage third parties to duplicate proprietary logic.

Breach may result in legal action.

11. Infringement & Unauthorized Use

Unauthorized actions include:

• Copying website layout without payment
• Using incomplete project files
• Reselling delivered work without agreement
• Sharing licensed software with third parties
• Modifying proprietary code beyond granted license

HtK Network reserves the right to:

• Suspend services
• Revoke licenses
• Initiate legal proceedings
• Claim damages

12. Indemnification

The client agrees to indemnify and hold harmless HtK Network from:

• Intellectual property disputes arising from client-provided materials
• Unauthorized modifications performed by third parties
• Misuse of delivered software
• Legal claims resulting from content supplied by the client

13. Cross-Border Enforcement

As HtK Network serves clients in India and the United States:

• Intellectual property rights are protected under applicable Indian and international copyright laws.
• Legal enforcement may be pursued across jurisdictions where applicable.

14. Limitation of Liability

HtK Network shall not be liable for:

• Modifications performed by unauthorized parties
• Security vulnerabilities introduced post-delivery
• Damages resulting from improper implementation by client

Liability is limited to the fees paid for the specific service in dispute.

15. Dispute Resolution & Jurisdiction

This policy shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra.
