1. Definitions
For clarity:
- “Company” refers to HtK Network.
- “Client” refers to any individual, business, or entity engaging our services.
- “Services” include website development, software development, automation systems, marketing, SEO, hosting, subscription platforms, consulting, and related digital services.
- “Agreement” refers to these Terms & Conditions along with any written proposal or invoice.
2. Acceptance of Terms
- Engaging our services constitutes acceptance of these Terms.
- Electronic approvals, email confirmations, or payment of invoice shall be considered binding acceptance.
- Verbal agreements are not enforceable unless confirmed in writing.
3. Scope of Services
- Services will be delivered as defined in the official proposal or invoice.
- Any additional features, revisions, or changes outside scope will incur additional charges.
- HtK Network reserves the right to refuse work that violates laws or ethical standards.
Scope creep without payment is not permitted.
4. Payment Terms
- A 60% advance payment is mandatory before project initiation.
- The advance is strictly non-refundable.
- Remaining payments must be cleared before final delivery or deployment.
- Delayed payments may result in suspension of services.
- All taxes, including GST (if applicable), are payable by the client.
- International clients are responsible for cross-border transaction fees.
Ownership does not transfer until full payment is received.
5. Project Timelines
- Timelines depend on client responsiveness and approval speed.
- Delays caused by the client extend delivery timelines.
- HtK Network is not responsible for missed deadlines due to:
- Late content submission
- Delayed approvals
- Third-party integration delays
Timelines are estimates, not guarantees.
6. Client Responsibilities
The client agrees to:
- Provide accurate project information
- Supply required materials on time
- Maintain confidentiality of credentials
- Comply with local laws and platform policies
- Review deliverables promptly
Failure to cooperate may result in project suspension without refund.
7. Revisions Policy
- Revisions are limited to those defined in the proposal.
- Unlimited revisions are not included unless explicitly stated.
- Structural or scope-level changes are treated as new work.
- Post-delivery modification requests may incur additional charges.
8. Intellectual Property
- All intellectual property remains with HtK Network until full payment.
- Upon full payment, ownership of agreed deliverables transfers to the client.
- Proprietary frameworks, reusable modules, and internal tools remain the property of HtK Network.
- Unauthorized duplication or resale is prohibited.
Detailed terms are governed by our Intellectual Property Policy.
9. Hosting & Infrastructure
If hosting is provided:
- Server infrastructure remains property of HtK Network.
- Uptime is not guaranteed.
- Maintenance windows may cause temporary downtime.
- Data backups are client responsibility unless managed backup service is included.
Migration assistance may incur additional charges.
10. Subscription & SaaS Services
For recurring services:
- Subscriptions auto-renew unless cancelled prior to billing date.
- Fees are non-refundable once billing cycle begins.
- Access may be suspended for non-payment.
- Data access after termination is subject to request and fees.
11. Third-Party Services
Services may involve:
- Meta
- Telegram
- Payment gateways
- Hosting providers
HtK Network is not liable for:
- Platform suspensions
- API changes
- Policy updates
- Service interruptions beyond our control
12. Confidentiality
Both parties agree to:
- Protect confidential information.
- Not disclose proprietary business or technical details.
- Use shared information solely for project execution.
This obligation survives termination.
13. Limitation of Liability
To the maximum extent permitted by law:
- HtK Network shall not be liable for indirect or consequential damages.
- Liability is limited to the fees paid for the specific service in dispute.
- We are not responsible for:
- Revenue loss
- Data loss caused by third parties
- Business interruption
- Platform bans
14. Indemnification
The client agrees to indemnify and hold harmless HtK Network from:
- Claims arising from client-provided content
- Legal violations committed through delivered systems
- Misuse of developed software
- Regulatory penalties caused by client activities
15. Termination
HtK Network may terminate services if:
- The client breaches payment terms
- The client engages in unlawful activities
- The client behaves abusively or unethically
- There is material breach of agreement
No refund shall be issued in such cases.
16. Force Majeure
HtK Network shall not be liable for delays or failure caused by:
- Natural disasters
- Government restrictions
- Regulatory changes
- Cyber incidents
- Internet outages
17. Governing Law & Jurisdiction
- These Terms shall be governed by the laws of India.
- Exclusive jurisdiction shall lie with courts in Pune, Maharashtra.
- International clients agree to submit to this jurisdiction.
18. Modifications to Terms
- HtK Network reserves the right to update these Terms.
- Continued use of services constitutes acceptance of revised Terms.
